1. Provider and agreement
TSAC DIGITAL LLC, a New Jersey limited liability company ("TSAC", "we"), provides TSAC Vault. These Terms govern the account, storage and related services actually made available to you. They do not promise features that are unavailable or identified as experimental. Support and legal notices: support@tsacvault.com. Mailing address: TSAC DIGITAL LLC, 96 Clinton Ave, Newark, NJ 07114, United States. Business telephone: +1 (646) 829-5872.
These service Terms take effect for you when they are clearly presented and you affirmatively accept them. Reading these pages, requesting assistance or exercising a privacy right is not acceptance. The Privacy Policy explains data practices; acknowledging it is not blanket consent to every use of personal data. Mandatory consumer and privacy rights take priority over these Terms. The app software license is addressed in the Apple section below.
The applicable plan description, limits displayed before purchase and these Terms form the service agreement. A specific, lawful promise made to you before purchase is not removed by a general disclaimer. Unreleased roadmaps, demonstrations and support estimates are not additional features or a service-level guarantee. Only a representative authorized by TSAC may agree in writing to a separate service commitment.
2. Eligibility and availability
The Service is intended for people aged 18 or older who also have legal capacity under the law where they live. It is not offered as a children's service. Do not create an account for someone who is ineligible. An adult storing lawful family photographs must still respect the rights of the people depicted.
Availability, supported formats, file limits and cloud capacity depend on the version and plan expressly offered in your region. No unlimited storage, uninterrupted backup, specific recovery outcome or future feature is included unless it is expressly offered. A planned international launch does not mean the Service is available in every country.
3. Account and device security
Use an email address you control and provide accurate information. Protect your email, account password, verification codes and device passcode, and notify support of suspected unauthorized use. You are responsible for your own misuse and failures to take reasonable precautions, not automatically for every unauthorized act or for TSAC's fault.
In version 1.0.1, verify your email when setting up a new iPhone. On an enrolled device, you can unlock your vault with Face ID, the iPhone passcode or an optional vault PIN. Keep these credentials and recovery codes private.
An individual plan is for the account holder's lawful use. Do not sell, rent, sublicense or operate shared credentials as a storage service for others, combine accounts to evade limits, or impersonate an owner. Supported devices and any sharing expressly included in a plan remain permitted. TSAC may request proportionate ownership verification before changing account control or granting recovery access.
4. Imports, cloud backup and recovery status
Importing creates an encrypted local copy without removing the source original. It does not create or prove a cloud backup. Version 1.0 supports files up to 15 MiB each. Keep independent copies of irreplaceable files and retain originals until the relevant operation is verified. This precaution does not waive any duty or remedy owed by TSAC.
Version 1.0 supports local setup without an account. Version 1.0.1 uses email verification for a new device. Backup and recovery depend on the capacity assigned to the account and a working connection. Keep the app open and unlocked during transfers.
Automatic backup, cloud recovery of album or folder organization, and files above 15 MiB are not available in this release. File-only recovery does not recreate cloud albums or folders. The app reports the files it verified; a pending or interrupted operation is not a completed backup or recovery. At a capacity limit, new uploads can stop while local files remain. Reimporting an original can create another local copy.
A crossed-out cloud means that the app has no confirmed backup for that item in the current session; it does not establish that every previous remote copy is absent. An upload arrow indicates work in progress, and a check indicates the verification described by the app at that time. A previous verification is point-in-time evidence, not continuous monitoring or a guarantee against later changes. Opening or unlocking the app alone does not prove that any upload completed.
5. Encryption and recovery
Vault files are encrypted by the app before the supported cloud-backup upload. Account information and operational metadata are separate and are not all protected by the vault-content encryption. Encryption does not guarantee absolute security.
Libraries protected with a KIS1 recovery code use that code and its matching encrypted recovery package. Keep both and your previous device until you have verified recovery. Resetting an account password does not restore a KIS1 vault key.
For libraries enrolled in managed recovery in version 1.0.1, the service can release the vault key after account authentication and fresh email verification. TSAC controls the recovery service and has the technical ability to decrypt managed vault content. Keep support requests free of passwords, vault keys and codes.
6. Your content and limited permission
You keep ownership of your files. You must have a lawful right to store and, if you choose, export them. You give TSAC a limited permission to process, encrypt, store, technically copy, transmit and restore content only to provide your selected features, maintain their security and comply with applicable law. Necessary service providers may act for those purposes. This is not a license to advertise with your files, sell them, publish them or train AI models on them.
Permission ends when the relevant content is deleted from the Service, except for the narrowly limited retention and legal obligations described in the Privacy Policy. A lawful business successor remains bound by applicable privacy duties; a transfer does not grant a new unrestricted content license.
TSAC and its licensors retain their rights in the software, interface, documentation and trademarks. A service purchase does not transfer those rights. No permission is granted to copy or resell the service, remove proprietary notices, misuse the TSAC name or access nonpublic systems. The Apple software license, applicable open-source licenses and rights that cannot lawfully be restricted remain controlling for their respective subject matter.
7. Lawful use and abuse reports
Do not use the Service for unlawful possession or distribution of content, child sexual abuse material, nonconsensual intimate imagery, exploitation, threats, fraud, malware or infringement of others' privacy or intellectual-property rights. Do not access another account, bypass access or quota controls, interfere with security or overload the Service. Restrictions on reverse engineering do not override rights expressly permitted by law.
Report abuse, security concerns or copyright complaints to support@tsacvault.com with enough non-sensitive information to identify the issue and your rights. Do not attach illegal content or disclose vault secrets. TSAC may restrict unlawful use, preserve information or make reports when required or otherwise lawfully justified. Private storage does not defeat lawful process. These Terms do not assert that TSAC proactively scans every private file or has registered a statutory copyright agent.
We may investigate credible misuse reports using information lawfully available to us and restrict the affected account or function when reasonably necessary. This does not authorize indiscriminate access to private files. Security testing requires prior written authorization for its scope; do not access another person's data. These Terms do not penalize lawful complaints, truthful reviews, reporting suspected violations to authorities or other legally protected activity.
8. Export, deletion and local copies
Exporting or sharing through the operating system sends a readable copy to the destination you select. It is not an encrypted sharing link. The recipient, Files, Photos, another app or a device/cloud backup may retain its own copy; TSAC cannot remotely erase those independent copies.
In the app, open Cloud > Manage account to request cloud-account deletion, or contact support if you cannot access that control. Reasonable identity verification may be required, but buying a plan or creating another account is not a condition for a legally required deletion. A pending or failed operation is not confirmation that all server data has been removed.
Cloud-account deletion is designed to remove the account and its active cloud vault data. It does not delete your local library or exported copies. Moving a local item to Trash or deleting the app is not a request to erase cloud backups. The Privacy Policy explains residual records and lawful retention. Export what you need before requesting an irreversible deletion.
9. Free local use and cloud capacity
Basic in version 1.0.1 includes up to 80 files on your iPhone. Where offered, Local Expansion raises the total to 1,000 files for the one-time price displayed by Apple before purchase. Both limits depend on available iPhone space. Cloud capacity is separate. Version 1.0 has no in-app purchases.
Apple handles billing and refunds. Use Restore purchase with the purchasing Apple Account to recover the local benefit. If Apple revokes the purchase, the Basic limit applies to new imports. Existing files remain available to open and export. The expansion does not renew or add cloud space.
If we plan to permanently discontinue the cloud service, we will give advance notice and a reasonable opportunity to export stored lawful content before closure. A change in capacity can restrict new uploads; it does not authorize undisclosed immediate destruction of existing content. Mandatory consumer rights remain available.
10. Suspension and ending service
We may proportionately restrict service for a material violation, a genuine security threat, unlawful conduct, a lawful order or unpaid charges for a plan you actually purchased. Where lawful and feasible, we will explain the reason, allow correction or review and provide a reasonable opportunity to export lawful content before a planned permanent closure. Urgent security or legal restrictions can require immediate action.
You can contact support to challenge an access restriction. Ending service does not eliminate accrued rights, statutory refunds, privacy requests or TSAC's legal duties. You do not owe TSAC compensation for loss caused by TSAC's own unlawful conduct, negligence or breach merely because you used the app.
Restrictions must relate to the actual breach or risk. TSAC may preserve relevant evidence, block new uploads or isolate an affected function instead of closing an entire account where sufficient. Payment disputes must be assessed; a disputed charge does not automatically prove fraud. Unless immediate action is legally required or necessary for security, notice will identify an available review route. Legal retention does not create permission to keep every file indefinitely.
11. Service commitments and uncertainty
TSAC remains responsible for its express commitments and the reasonable care and security required by applicable law. Networks, operating systems and providers can fail, and no service can promise zero loss, intrusion or interruption. We do not warrant suitability for a particular unagreed professional, medical, legal-recordkeeping or emergency use. These statements do not disclaim statutory warranties, binding product descriptions, legally required remedies or liability that cannot be excluded.
Preview or experimental functions are identified before use and may change or be withdrawn. Do not rely on them as the only copy of irreplaceable information. TSAC may apply necessary security updates and reasonable technical maintenance; this does not authorize removal of a material paid benefit without the notice and remedies required by the contract and law. Unless separately agreed, no guaranteed uptime, recovery deadline, archival certification or professional compliance service is purchased.
12. Limited contractual liability
This section does not apply to consumers residing in New Jersey, the European Economic Area or the United Kingdom. Their available liability remedies are governed by applicable law, without this contractual cap or exclusion.
For other users, and only where enforceable, TSAC's aggregate liability arising from this Service is limited to the greater of US $100 or the amounts you paid TSAC for the Service in the 12 months preceding the event giving rise to the claim. TSAC is not liable under this limitation for indirect or consequential commercial losses that were not reasonably foreseeable.
The cap and exclusion do not apply to fraud, intentional misconduct, gross negligence, death or personal injury, TSAC's violation of applicable privacy or data-security duties, statutory consumer remedies, required refunds or any other liability the law does not permit limiting. Ordinary direct loss of your files is not categorically excluded by calling it "lost data." No provision shortens a statutory claim period or prevents a complaint to a regulator.
13. Disputes and applicable law
Please contact support@tsacvault.com to seek an informal solution. This is an invitation, not a mandatory waiting period, limitation on urgent relief or condition for a privacy request, regulator complaint or court claim. These Terms impose no mandatory arbitration, class-action waiver or jury-trial waiver.
New Jersey law governs these service Terms, except where mandatory laws of your residence provide protection that cannot be displaced. Proceedings may be brought in a competent New Jersey court, without excluding any other court that mandatory consumer law makes available to you. Any applicable Apple software-license terms remain separate as explained below.
For a customer acting solely for business purposes, and where no mandatory law requires a different forum, the parties submit service disputes to the state courts in Middlesex County, New Jersey, or the federal District of New Jersey if it has jurisdiction. This business-only venue agreement does not apply to individual or household consumers. Either party may seek available urgent relief in a competent court.
14. Apple license and third parties
The App Store software license is governed by Apple's standard Licensed Application End User License Agreement unless a valid custom EULA is separately provided through the store. These service Terms do not replace that license or conflict with Apple's Usage Rules. Read the standard license at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/.
TSAC is the provider of its service. Apple operates its store and billing; independent export destinations have their own practices. Using a provider does not excuse TSAC from legal duties for processing performed on its behalf. No Google Play release or third-party advertising service is represented as available here.
15. Changes, notices and remaining terms
Material changes will be communicated through an appropriate in-app notice or account email before they take effect where required. A new purpose requiring consent will not be authorized merely by posting new terms. Changes operate prospectively and do not erase an existing claim. If you decline, available cancellation, export and mandatory refund rights remain.
Necessary account and security communications may be sent electronically; these Terms do not enroll you in marketing or SMS. A lawful assignment does not reduce accrued consumer rights. If a provision is invalid, it is inoperative to that extent without expanding another waiver. Neither an outage nor a third-party failure automatically excuses TSAC's own failure to take legally required precautions.
The app and public pages are provided in English. Contact support for an accessible copy, language assistance or clarification. A translation difference does not remove mandatory rights or create an undisclosed obligation.
16. Third-party claims caused by business misuse
This section applies only to a customer acting solely for business purposes who has authority to bind that business; it does not apply to an individual or household consumer. That business agrees to reimburse TSAC for reasonable, documented third-party damages and defense costs finally awarded or included in a settlement it approves, to the extent directly caused by its deliberate unlawful use of the service, its knowing infringement of third-party rights through uploaded content, or its material breach of these Terms.
There is no duty to cover TSAC's negligence, security failure, misconduct or breach, or a claim about the customer's exercise of protected rights. TSAC must promptly notify the business, reasonably mitigate loss and allow it to participate in the defense with competent counsel. A settlement cannot admit fault, impose nonmonetary duties or waive the business's rights without its written consent; TSAC likewise need not accept such terms against itself. Liability is apportioned to the extent of each party's responsibility.
17. Additional protections for EEA and UK consumers
When mandatory EEA or UK consumer law applies, the service must meet the agreed description and applicable standards of conformity and reasonable care. Required security and functionality updates, correction of defects, price reduction, termination and refunds remain available on the conditions set by that law. For continuous cloud storage, applicable conformity duties continue throughout the contracted supply period. An item limit or liability provision does not remove those duties.
For a qualifying distance service contract, a consumer normally has 14 days from conclusion to withdraw without giving a reason. Statutory extensions, exceptions and more favorable local rules remain applicable. Starting an ongoing cloud service does not by itself mean that the entire contract is fully performed. A legally permitted proportional charge for early service requires the applicable prior information and express request. Any separate digital-content exception requires the legally prescribed advance consent, acknowledgment and confirmation; accepting these Terms or merely opening the app does not supply them.
For an Apple purchase, use the applicable Apple withdrawal or refund channel shown with the purchase. You can also notify support@tsacvault.com with a clear statement that you wish to withdraw, your name, account email, order reference and purchase date if available. No particular wording is required. TSAC will identify the responsible seller or handler and assist with its own obligations; store procedures do not displace mandatory rights. Withdrawing from a purchase, canceling renewal and deleting an account are different actions. Export content you need before requesting deletion.
No paid offers are available in version 1.0. Any later paid offer must identify the responsible trader, contact details, total price, duration, renewal and cancellation rules, technical requirements and applicable withdrawal instructions before purchase, with a confirmation the consumer can retain. A change to a continuing digital service remains subject to applicable notice, valid-reason, no-extra-cost and termination requirements. Mandatory protections of your habitual residence and access to a competent local court prevail over an inconsistent provision here.
